Terms of Service

These terms are the agreement between the producer using Pourline and Mayrose Future Company Limited, a company registered in Ireland (company number 724698), registered office 11 Shandon Park, Monkstown, Co. Dublin, A94 R265 ("we"). They also serve as the end-user licence for the Pourline software, and they include our Data Processing Terms. Using Pourline means agreeing to them.

What Pourline is

Pourline is an online ordering and dispatch service for ready-mix concrete producers. Producers use it to take orders, run their dispatch board, print delivery tickets and, if they choose, hand delivered orders to their accounting or business system. Where a producer switches it on, contractors use it to place and track orders with that producer.

Plain-language terms

• Month to month. Pourline is billed monthly. There is no long-term contract and no lock-in.
• Cancel any month. A producer can cancel at the end of any monthly billing period by emailing us. Access continues to the end of the paid period.
• Founding-customer rates. Early customers may hold a founding rate agreed in writing. That rate stays locked for the period agreed, and we honour it.
• No setup fees. Onboarding is included unless agreed otherwise in writing.
• Your data is yours. Order, customer and contractor records belong to the producer. We hold and use them only to run Pourline for you, under our Data Processing Terms, and you can have an export at any time.
• Early-access service. Pourline is a young product. We work hard to keep it reliable, but during this phase it is provided as is, and quotes, tickets, invoices and records should be checked the way a producer normally checks paperwork. Pourline is a coordination tool; it does not replace a producer's own quality, safety or contractual obligations to its customers.
• Fair use. Accounts are for the producer's own business. Don't try to reach another producer's data or interfere with the service.

Accounts and access

The producer decides who in their business can use Pourline, is responsible for those users, and removes them when they leave. Each person signs in with their own work email. Contractor users are invited by, and act for, the contractor business placing the order. Tell us promptly if you believe an account has been misused.

Data protection

Each of us will comply with the data protection law that applies to it, including the GDPR and the UK GDPR. For the producer's business records the producer is the controller and we are its processor; our Data Processing Terms form part of these terms and govern how we handle that data. If they conflict with these terms on a data protection point, the Data Processing Terms win. The producer is responsible for having a lawful basis for the records it puts into Pourline and for telling its own customers, contractors and staff, in its own privacy notice, that it uses Pourline. Our Privacy Note explains the information we control ourselves.

Confidentiality

We keep each producer's business information confidential, use it only to run Pourline for that producer, and limit access to the people who need it to do that.

Licence

For as long as a producer's subscription is active, we grant the producer and its users a non-exclusive, non-transferable right to use Pourline for the producer's own business. The Pourline software, design and name remain ours. Don't copy, resell, reverse-engineer or build a competing product from it.

Connected services (including QuickBooks Online)

A producer may connect Pourline to third-party services, such as QuickBooks Online or another business system it uses. In doing so:

• The producer's own administrator authorises the connection and can revoke it at any time, from within the third-party service, from Pourline, or by emailing us.
• Pourline exchanges only the records described in the Privacy Note, and creates records in the connected service only when a producer user chooses to send them.
• The producer is responsible for reviewing anything Pourline sends to a connected service before relying on it, exactly as they would review an invoice typed by hand.
• Use of the connected service itself is governed by that service's own terms (for QuickBooks, Intuit's). We are not responsible for the connected service, its availability, or changes it makes.
• We may suspend or end a connection if the third-party provider requires it or if the connection is being misused.

Availability and support

We aim to keep Pourline available around the clock and to fix problems quickly. Planned maintenance will be short and, where possible, announced in advance. Support is by email at enquiries@mayrosefc.com, and a person will answer.

Acceptable use

Use Pourline lawfully and for its intended purpose. Don't use it to send spam, store unlawful content, reach data that isn't yours, probe or overload the service, or get around its security. We may suspend accounts that do.

Liability

To the extent the law allows, Pourline is provided without warranties beyond those stated here, and our total liability to a producer for any claim arising from the service is limited to the fees that producer paid us in the three months before the claim arose. We are not liable for indirect losses, lost profit, or losses arising from a producer's own concrete supply, quality, delivery or contractual obligations, or from errors in records the producer could reasonably have checked. Nothing here limits liability that cannot be limited by law.

Ending the agreement

Either side can end it at the end of any monthly period. We may end it sooner for serious or repeated breach of these terms, after giving notice where practical. When it ends, we give the producer an export of their records on request, disconnect connected services, and delete everything held on our side within 30 days (backup copies are overwritten within a further 30 days), as set out in the Data Processing Terms. Producers on the earlier version of Pourline keep their spreadsheets in their own Google account.

Governing law

These terms are governed by the law of Ireland and any dispute goes to the Irish courts, wherever the producer is based. Nothing here removes rights a producer has under the law of its own country that cannot be excluded.

Changes

If these terms change in a way that matters, we tell producers by email before the change takes effect, and update the date at the top.
